1. Definitions

• “We,” “our,” or “us” refers to Pittsburgh Prep, a Pennsylvania LLC, and its employees, directors, officers, affiliates, and subsidiaries.
• “You,” “your,” or “user” refers to the individual(s) or agents using Pittsburgh Prep services.
• “Terms” refers to this Terms of Service agreement, including our Privacy Policy.
• “Website” refers to websites operated by Pittsburgh Prep, including www.pittsburghprep.com and www.testingforgood.org, and all subdomains.
• “Service” or “Program” refers to services offered by Pittsburgh Prep, including Websites, Test Prep, Academics, and College Consulting services, content materials, and any third-party services used by Pittsburgh Prep.
• “Session” refers to the scheduled time for providing Services.
• “Course” refers to group sessions or classes provided as a service.
• “Pittsburgh Prep” refers to our Websites and Services collectively.

2. General Rules

To access and use Pittsburgh Prep, you must: (a) Be at least thirteen (13) years of age, or if under thirteen (13) years of age, have explicit permission from a parent or legal guardian, who must act on your behalf and ensure no direct access to our digital services is provided to individuals under thirteen (13) years of age; (b) Agree to these Terms; and (c) Comply with the following rules:

• You are solely responsible for the content you provide and your activities on Pittsburgh Prep.
• You agree to use Pittsburgh Prep in accordance with all applicable laws, regulations, and rules.
• You must not use Pittsburgh Prep in any manner that compromises the security or functionality of our services, devices, or infrastructure.
• You will not use Pittsburgh Prep to engage in any activity that infringes on our rights or the rights of others.
• You are prohibited from uploading, transmitting, or distributing any content that is objectionable, harmful, or otherwise inappropriate, as determined solely by Pittsburgh Prep.

We reserve the right to terminate your access to Pittsburgh Prep for any violation of these rules. Breaches of these Terms may also result in legal consequences.

If you comply with these Terms, we grant you a non-exclusive, non-transferable, non-sublicensable, and limited license to use Pittsburgh Prep.

3. Intellectual Property

You retain ownership of your content. We do not claim any intellectual property rights over the information you provide to us.

Pittsburgh Prep and its Services are owned by us. You may not copy, reproduce, modify, resell, publicly perform or display, re-publish, or create derivative works from Pittsburgh Prep without our written consent.

You grant us a royalty-free, worldwide, sub-licensable, and perpetual license to use any suggestions, enhancement requests, recommendations, feedback, or information you provide.

4. Trademark

The trademarks, logos, and designs displayed on the Site, Programs, or service content are the property of Pittsburgh Prep or its licensors and are protected by law. No license or right to use these marks is granted without explicit written permission. Unauthorized actions, such as modifying, distributing, copying, or reverse-engineering materials, or using artificial intelligence tools to analyze the content, are strictly prohibited and may result in legal consequences.

5. Passwords and Accounts

You are solely responsible for maintaining your account credentials secure and for all activity that occurs under your account. Notify us immediately of any unauthorized use. We are not liable for losses due to compromised passwords.

You may not impersonate others unless authorized by them in writing.

6. Payment Terms

You authorize us to charge you based on the services you select, at the rates in effect at the time of service. All charges are non-refundable, except as stated in our Refund Policy.

We reserve the right to change service fees with 30 days’ notice, which may be provided via email or posted on our website.

7. Session Cancellation Policy

Sessions canceled with less than 24 hours’ notice will incur a full session charge.

For College Consulting service, session cancellations with less than 24 hours’ notice will result in a deduction from the allotted total in-person meeting time.

8. Refund Policy

Refunds are available in the following circumstances:

• Withdrawal from a course or College Consulting service before it starts:
  • 100% refund if withdrawn 30 or more days prior to the start date.
  • 50% refund if withdrawn between 14 and 30 days prior to the start date.
  • No refund if withdrawn less than 14 days before the start date.
• Cancellation of prepaid sessions with more than 24 hours’ notice.
• Cancellation of services by us.

9. Cancellation and Termination

You may cancel your service at any time by emailing us at support@pittsburghprep.com. Phone cancellations are not accepted. We reserve the right to terminate your service at our sole discretion, for any reason, and without prior notice to you. Applicable refunds may be provided in accordance with our Refund Policy.

10. Indemnification

To the fullest extent permitted by law, you, along with your guardians, minor children, heirs, and associates, agree to indemnify and hold us harmless from any claims, damages, or expenses arising from your use of Pittsburgh Prep, whether arising from proper use, misuse, or any breach of these Terms. This includes all losses, costs, damages, and reasonable attorneys’ fees resulting from your actions, inactions, or violations of these Terms, as well as any harm caused to others in connection with your use of Pittsburgh Prep, regardless of intent or purpose.

11. Representations and Warranties

Pittsburgh Prep is provided “as is,” without any express or implied warranties, including but not limited to warranties of merchantability, fitness for a particular purpose, or non-infringement. We do not warrant that the service will meet your requirements, operate without error, function without interruptions, or produce accurate or reliable results. Your use of the service is at your own risk.

We assume no responsibility for service interruptions, errors, or issues resulting from maintenance, technical failures, unauthorized access, or causes beyond our control. Pittsburgh Prep disclaims all warranties, including implied warranties of merchantability, fitness for a particular purpose, and non-infringement of intellectual property or other rights.

We make no representations regarding the accuracy, reliability, or outcomes of using the materials provided on our site or any linked sites. The service may be temporarily unavailable due to maintenance or unforeseen circumstances. Pittsburgh Prep assumes no liability for errors, omissions, interruptions, deletions, defects, delays in operation or transmission, communication failures, theft, destruction, unauthorized access, or alteration of communications.

12. Limitation of Liability

Pittsburgh Prep, including its subsidiaries, affiliates, officers, employees, agents, partners, and licensors, is not liable for indirect, incidental, special, or consequential damages, including but not limited to loss of data, profits, or business interruption, arising from your use of our services, even if advised of the possibility of such damages.

Our total liability, under any circumstances, is limited to the amount you paid for services in the month immediately preceding the event giving rise to the claim. Some jurisdictions do not allow the exclusion or limitation of certain liabilities. To the extent such exclusions or limitations are prohibited by applicable law, they may not apply to you.

Under no circumstances shall Pittsburgh Prep be responsible for any loss or damage, including personal injury, death, data loss, or damages arising from your use of the site, services, user content, third-party applications, or content, whether posted on or through the service or resulting from interactions between users, whether online or offline.

13. Publicity

You grant us the right to use your likeness and comments for marketing purposes unless you opt out by emailing us at support@pittsburghprep.com.

14. Governing Law; Dispute Resolution

These Terms are governed by the laws of Pennsylvania. Any disputes will be resolved in state or federal courts in Allegheny County, Pennsylvania without regard to conflict of law provisions. Claims must be brought within one year.

15. Force Majeure

We are not liable for delays or failure to perform due to circumstances beyond our control.

16. Severability and Waiver

If any part of these Terms is deemed unenforceable, the remaining provisions will remain in effect. Our failure to enforce any right or provision does not waive that right. If a provision is ruled invalid, the court shall aim to honor the parties’ intentions, and all other Terms will continue to apply.

17. Assignments

You may not transfer, assign, or delegate your rights or obligations under these Terms without our prior written consent. We reserve the right to transfer, assign, or delegate our rights and obligations under these Terms to any party at our discretion without prior notice to you.

18. Entire Agreement

These Terms constitute the entire agreement between you and Pittsburgh Prep regarding the use of our Services. They supersede all prior or contemporaneous communications, proposals, agreements, or understandings, whether oral or written, related to the subject matter of these Terms, including any previous versions of the Terms of Service or Terms & Conditions of Use. Any additional terms will not reduce, diminish, or eliminate any rights that Pittsburgh Prep possesses under these Terms.

19. Amendments and Changes

We reserve the right to modify these Terms or make changes to our Services at any time. Any changes to the Terms will be effective immediately upon being posted to our Website. Changes to our Services, including modifications, suspensions, or discontinuations, may occur with or without prior notice.

Your continued use of Pittsburgh Prep after such changes are posted constitutes your acceptance of the updated Terms and any changes to the Services. It is your responsibility to review the Terms regularly for updates.
